Terms of Service
These Terms of Service ("Terms") govern your use of Prismo (the "Service") — a prompt-optimization application and website operated by [LEGAL ENTITY / OPERATOR NAME] ("we", "us"). By downloading, accessing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Prismo helps you rewrite and evaluate prompts for large language models. It is available as a free web app, a free macOS app, and an optional paid Premium plan. Core features — optimization, receipts (task-grounded evaluation), comparisons, and saved test-sets — are free when you use your own provider API key (Anthropic, OpenAI, or Google Gemini).
2. Your API keys and third-party providers (BYOK)
When you supply your own provider key, inference runs on that key and is billed to you by the respective provider. Your key is stored locally on your device (browser storage or the macOS Keychain) and transmitted only with your own requests to run your inference. Your use of those providers is subject to their terms, and you are solely responsible for your keys, your usage, and any charges they incur.
3. Paid subscriptions
- What they are. Paid plans run inference on our hosted service, so you do not need your own
provider key. There are two tiers:
- Premium — $5.99 / month or $59 / year. Hosted access to our Fast and Balanced models. These are promotional launch prices (regular prices $7.99/month and $79/year); subscribers who join at the launch price keep it for as long as their subscription remains continuously active, and re-subscribing after a lapse is at the then-current price.
- Pro — $19 / month or $190 / year. Hosted access to all models, including our Quality tier (e.g. Opus, GPT-4.1, Gemini 2.5 Pro).
- Billing. Payments are processed by [Lemon Squeezy], which acts as merchant of record. Subscriptions auto-renew until cancelled.
- Cancellation. You may cancel anytime; access continues until the end of the current billing period, after which it does not renew.
- Refunds. [State your refund policy — e.g. a 14-day refund on request for annual plans; monthly plans non-refundable.]
4. Fair-use policy
Paid plans are intended for normal individual use, and each tier includes a monthly fair-use allowance (Pro's is larger than Premium's). For a typical user both are generous — comfortably more than 100 prompt optimizations per month. Receipts, comparisons, larger inputs, and higher-quality models each run more model calls and therefore draw the allowance down faster. On hosted plans the Quality tier is Pro-only; Premium covers the Fast and Balanced models. Your live usage meter always shows how much of your monthly allowance remains, and you will never be charged beyond your subscription price. If you reach the allowance, you can wait for the monthly reset or switch to your own API key for unlimited use. No hosted plan is "unlimited"; only bring-your-own-key use is unmetered — it works with every model, including Quality, at no charge from us. We may adjust the allowances with reasonable notice.
5. Acceptable use
You agree not to: use the Service for unlawful purposes or to generate unlawful content; resell, sublicense, or provide the hosted service to third parties; share, resell, or abuse license keys; attempt to circumvent usage limits, rate limits, or security controls; or scrape, overload, or disrupt the Service. We may suspend or terminate access for violations.
6. Your content and privacy
Your prompts, inputs, and results are processed only to provide the Service and are not stored, logged, sold, or used for training — except results you explicitly choose to share, which are stored to generate a public link and expire automatically (about 90 days). 7. Intellectual property
You retain all rights to the prompts you input and the outputs you generate. We retain all rights to the Service software, brand, and design. These Terms grant you a limited, revocable, non-exclusive licence to use the Service.
8. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind. Prompt optimizations and AI-generated outputs may be inaccurate, incomplete, or unsuitable for your purpose; you are responsible for reviewing and validating them. The Service is not professional advice.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the [12 months] preceding the claim.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. Sections that by their nature should survive (ownership, disclaimers, liability) survive termination.
11. Changes
We may update these Terms. Material changes will be posted here with an updated effective date, and where required, we will provide reasonable notice. Continued use after changes take effect constitutes acceptance.
